1. Introduction and Acceptance

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "Customer," "you") and EboxSecure, Inc. ("EboxSecure," "Company," "we," "us," "our"), a corporation organized under the laws of Delaware, regarding your access to and use of our secure package delivery services, mobile applications, websites, and related services (collectively, the "Services").

By accessing, downloading, installing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Services.

These Terms apply to all users of our Services, including without limitation customers, visitors, and others who access or use the Services. You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

2. Service Description and Availability

EboxSecure provides secure package delivery and storage solutions through our network of intelligent lockers and related technology platforms. Our Services include:

• Secure package receipt and storage at designated EboxSecure locations
• Authenticated access to packages through multiple verification methods
• Package delivery management through our mobile applications and web platform
• Scheduled package pickup and delivery coordination
• Real-time notifications and tracking for package status updates
• Integration with e-commerce platforms and delivery services
• Customer support and technical assistance

2.2 Service Availability

While we strive to provide continuous service availability, we do not guarantee uninterrupted access to our Services. Service may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with or without notice.

2.3 Geographic Limitations

Our Services are currently available only in designated geographic areas. Service availability may vary by location and is subject to change without notice.

3. User Accounts and Registration

3.1 Account Creation

To access our Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Providing truthful, accurate, and complete registration information
• Maintaining and updating your account information to ensure accuracy
• Maintaining the strict confidentiality of your account credentials
• All activities that occur under your account, whether authorized or unauthorized
• Immediately notifying us of any suspected unauthorized use or security breach

3.2 Identity Verification

We may require identity verification as part of the registration process or at any time thereafter. You agree to provide all requested documentation and information necessary for verification purposes.

3.3 Account Termination

We reserve the right to suspend, terminate, or refuse service to any account at our sole discretion, including but not limited to accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to our Services or other users.

4. Package Handling, Storage, and Liability

4.1 Our Obligations

EboxSecure will:

• Provide secure storage for packages in our designated lockers
• Send notifications when packages are delivered to our facilities
• Implement reasonable security measures to protect stored packages
• Ensure packages are accessible only to authorized recipients
• Maintain climate-controlled environments where applicable

4.2 Storage Terms and Fees

• Standard Storage: Packages are held for up to 3 days at no additional charge beyond base service fees
• Extended Storage: Packages not retrieved within 3 days incur daily storage fees as outlined in our current pricing schedule
• Abandoned Packages: Packages not retrieved within 14 days may be considered abandoned and disposed of at our discretion
• Size Limitations: Packages must fit within the dimensions of our standard lockers; oversized items may be refused

4.3 User Acknowledgments and Limitations

By using our Services, you acknowledge and agree that:

• EboxSecure is not responsible for the contents, condition, or value of packages
• We do not inspect package contents unless required by law or security concerns
• Package delivery timing depends on third-party carriers and is not guaranteed
• We are not liable for delays, damage, or loss caused by third-party carriers
• Insurance coverage, if any, is limited to the maximum liability specified herein

4.4 Maximum Liability for Lost or Damaged Packages

Our maximum liability for any lost, damaged, or stolen package is limited to the lesser of: (a) the declared value of the package, (b) $100 per package, or (c) the amount of fees paid by you for the specific package storage service. This limitation applies regardless of the cause of loss or damage.

5. Prohibited Items and Conduct

5.1 Prohibited Items

The following items are strictly prohibited from being delivered, stored, or handled through our Services:

• Illegal Items: Any items that are illegal under federal, state, or local laws
• Hazardous Materials: Flammable, toxic, corrosive, radioactive, or otherwise dangerous substances
• Perishable Goods: Food items, plants, or other items requiring refrigeration or special handling
• Weapons: Firearms, ammunition, explosives, knives, or other weapons
• Live Animals: Any living creatures
• High-Value Items: Currency, precious metals, gems, or items valued over $500
• Personal Documents: Passports, driver's licenses, or other government-issued identification
• Pharmaceuticals: Prescription medications or controlled substances
• Oversized Items: Items exceeding our locker dimensions or weight limits

5.2 Prohibited Conduct

Users are prohibited from:

• Using our Services for any unlawful purpose or in violation of applicable laws
• Attempting to gain unauthorized access to our systems or other users' accounts
• Interfering with or disrupting our Services or servers
• Using automated systems or software to access our Services without permission
• Sharing account credentials with unauthorized persons
• Misrepresenting identity or providing false information

5.3 Enforcement and Consequences

We reserve the right to inspect any package if we reasonably suspect it contains prohibited items. Violation of these restrictions may result in immediate termination of services, forfeiture of packages, and reporting to appropriate authorities. You will be liable for any costs, damages, or legal consequences resulting from prohibited items or conduct.

6. Fees, Payment Terms, and Billing

6.1 Service Fees

Users agree to pay all applicable fees for our Services according to our current pricing structure available on our website. Fees may include:

• Subscription fees for ongoing service access
• Per-package fees for individual deliveries
• Extended storage fees for packages held beyond the standard period
• Special handling fees for oversized or expedited packages
• Late fees for overdue accounts

6.2 Payment Terms

• All fees are due and payable in advance unless otherwise specified
• Subscription fees are billed monthly or annually based on your selected plan
• Payment must be made by credit card, debit card, or other approved payment methods
• Automatic renewal applies to subscription plans unless cancelled in advance
• All fees are non-refundable except as expressly provided in these Terms

6.3 Fee Changes and Taxes

We reserve the right to modify our fee structure with 30 days' written notice. You are responsible for all applicable taxes, duties, and governmental fees. If payment is not received when due, we may suspend or terminate your access to our Services.

7. Intellectual Property Rights

The Services and all content, features, and functionality thereof are owned by EboxSecure and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use our Services solely for their intended purpose. You may not:

• Copy, modify, distribute, sell, or lease any part of our Services
• Reverse engineer or attempt to extract the source code of our software
• Use our trademarks, logos, or branding without written permission
• Create derivative works based on our Services

9. Disclaimers and Limitation of Liability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EBOXSECURE SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR THEFT OF PACKAGES
• DAMAGES CAUSED BY THIRD-PARTY CARRIERS OR SERVICE PROVIDERS
• DAMAGES RESULTING FROM ACTS OF GOD, NATURAL DISASTERS, OR FORCE MAJEURE EVENTS

9.3 Maximum Aggregate Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO EBOXSECURE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless EboxSecure, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to our Services
• Your violation of any term of these Terms
• Your violation of any third party right, including any copyright, trademark, property, or privacy right
• Any claim that your content or use of our Services caused damage to a third party
• Any prohibited items stored using our Services
• Your negligent or wrongful conduct

11. Dispute Resolution and Arbitration

11.1 Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or our Services shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.

11.2 Arbitration Procedures

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be held in Indiana, or at another location mutually agreed upon. The arbitrator's decision will be final and binding.

11.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR OTHER REPRESENTATIVE PROCEEDINGS.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the termination features in your account settings. Upon termination, you remain responsible for all fees incurred prior to termination.

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our Services ceases immediately.

12.3 Effect of Termination

Upon termination, you must retrieve all packages within 7 days. Packages not retrieved may be disposed of at our discretion. Provisions regarding liability, indemnification, and dispute resolution will survive termination.

13. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or other similar causes beyond our reasonable control.

14. Modifications to Terms

We reserve the right to modify these Terms at any time in our sole discretion. When we make material changes, we will:

• Post the updated Terms on our website with a new "Last Updated" date
• Notify you via email or through our Services
• Provide at least 30 days' notice for material changes affecting your rights

Your continued use of our Services after any modifications constitutes acceptance of the updated Terms. If you do not agree to the modifications, you must stop using our Services.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Subject to the arbitration provisions above, any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Indiana, and you consent to the jurisdiction of such courts.

16. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on our Services, constitute the entire agreement between you and EboxSecure concerning our Services and supersede all prior or contemporaneous communications and proposals.
